Companies planning to establish a business in Hungary regularly contact me for legal advice. Most enquiries focus on practical issues such as the incorporation process, required documentation, costs, or the expected timeline.

Recently, however, I have noticed an interesting shift.

More and more companies are no longer asking only how to establish a company, but how to establish a business in Hungary successfully. Their questions go beyond company registration and focus on the legal framework of entering the Hungarian market.

One of the questions I hear most often is:

Do we need a local Hungarian partner to establish a company?

The question is entirely understandable.

In many jurisdictions, foreign investors face local ownership requirements, licensing restrictions or other legal limitations when entering the market. Companies familiar with those regulatory environments naturally want to clarify whether similar rules apply in Hungary.

The answer, however, is straightforward.

No. As a general rule, foreign individuals and foreign companies can establish a Hungarian company without a Hungarian shareholder or a mandatory local partner.

As in most European Union Member States, Hungarian company law generally allows foreign investors to establish and own companies independently.

The Real Question Is Not About Having a Local Partner

In my experience, companies are rarely looking for a local owner.

They are looking for legal certainty, predictability and reliable local support.

Entering a new market is about far more than incorporating a company. Businesses want to understand the legal environment they will operate in, the obligations they will face and the decisions that should be made before business operations begin.

As a result, the most important questions are usually these:

  • Which type of company best supports our business model?
  • Can the company be managed from abroad, or is a Hungarian managing director required?
  • How should the registered office be arranged?
  • What accounting, tax and reporting obligations will arise?
  • When should employment contracts or commercial agreements be prepared?
  • Are any licences or permits required for the planned activity?
  • What kind of ongoing legal support will the business need after incorporation?

There is no universal answer to these questions.

A manufacturing company, a trading business and a service provider will each require a different legal and operational structure.

Company incorporation is not the objective. It is only the first step.

Registering a company is often one of the simplest parts of the process.

Long-term success depends on choosing the right corporate structure, preparing appropriate contractual documentation, understanding employment and compliance obligations, and ensuring that the business operates on a legally sound foundation from the very beginning.

That is why the most important question is rarely whether a Hungarian partner is required.

The more important question is what legal structure and local professional support will allow the business to operate safely, efficiently and with confidence in Hungary.

A well-designed legal structure does not slow business down. It gives it a secure foundation.
