Commercial Contracts in Hungary – Where Most Problems Actually Start

15/04/2026

Most business problems do not start in court.

They start in a contract that everyone signs – without fully understanding it.

When foreign companies enter the Hungarian market, the focus is usually elsewhere:
– company formation
– tax
– bank account

But the real risk is often not there.

👉 It sits in the contract they are about to sign.

The "template contract" trap

In many cases, companies use:
– a previous agreement
– a downloaded template
– or a contract from another country

On paper, it works.

In Hungary, it often does not.

Not because it is "wrong" – but because it was built for a different legal system.

Same words, different consequences

Terms like performance, delay or liability are not just wording.

In a contract, they carry specific legal consequences – and those consequences are not the same in every country.

What seems acceptable elsewhere may result in:
– breach of contract
– unexpected payment obligations
– or a significantly weaker position in a dispute

What is not written, does not exist

This is where most issues begin.

– unclear scope
– vague payment terms
– no exit structure

And this is when the classic sentence appears:

"We agreed on this…"

But it is not in the contract.

A contract is not a formality

A business contract is not just documentation.

It is:
– a risk allocation tool
– a business control mechanism
– and often your only protection

before anything goes wrong.

What makes a contract work?

A well-structured contract is not long – it is clear.

✔ defined scope
✔ clear payment structure
✔ liability limits
✔ exit / termination logic
✔ dispute handling

And most importantly:

👉 it aligns with Hungarian law AND actual business practice

Reality check

Most clients come when the problem already exists.

At that point:
– the contract is signed
– positions are fixed
– flexibility is limited

Then it is no longer about optimization.

👉 it is about damage control.

Check your contract before signing

If you are about to:
– sign a supplier agreement
– enter a business partnership
– provide or receive services in Hungary

it is worth reviewing the contract before signing.

Not just the wording.
But the structure.
The gaps.
And what Hungarian law will do where your contract says nothing.

👉 Because by the time the issue appears, the contract is no longer a legal document.
It becomes a limitation.
